Law and Forum
The Website and these Terms and Conditions will be governed by and construed in accordance with the Laws of the Province of Ontario and federal Laws of Canada, without giving effect to any choice or conflict of law provision, principle or rule (whether of the Laws of the Province of Ontario or any other jurisdiction), and notwithstanding your domicile, residence or physical location.
Any action or proceeding arising out of or relating to the Website and these Terms must be instituted in the courts of the Province of Ontario or the Federal Court of Canada, and you and Inhaus irrevocably submit to the exclusive jurisdiction of such courts in any action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
Miscellaneous
No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms operates, or may be construed, as a waiver. No single or partial exercise of any right, remedy, power or privilege under these Terms precludes any other or further exercise of that right, or the exercise of any other right, remedy, power or privilege.
Any invalidity, illegality or unenforceability of any part of these Terms, will not affect any other part of these Terms or invalidate or render unenforceable the same part in any other jurisdiction.
These Terms constitute the sole and entire agreement between you and Inhaus regarding the Website and Content, and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, respecting each of them.
