Selected Experience

  • Fractional General Counsel for global IT Services/IT Consulting B-to-B enterprise that uses technology and proprietary process to increase enterprise value and foster company growth for their clients. Materially involved in commercial contracting with both enterprise and client paper, as well as enterprise employment, IP and dispute resolution.
  • General Counsel for multi-state, multi-site hospitality operation in a dynamic business climate.  Provided solutions and advised all levels of enterprise to accomplish business objectives within legal framework.
  • US counsel to international public company supporting in-country team with commercial matters. Focus on myriad construction related agreements including those as and with general contractors, subcontractors, service and materials providers, as well as NDAs, Design Build Agreements, Master Service Agreements, Sales Agreements, Equipment Leasing,  and various associated agreements with private parties and government entities.
  • Commercial Agreements.  Experience with all facets of a broad range of commercial agreements tied to business specific needs working with private, business, and government counter parties. Well versed in legal analysis, negotiating, reimagining, drafting and solution finding.
  • Corporate.  Experience with design and maintenance of both streamlined and complex corporate structures to meet business objectives.  Experience establishing in-country presence and growth. Advisor to the Board of Directors as needed. 
  • Employment. Provide legal advice on employee related matters including creating and building an employer presence in the United States, hiring considerations and employment agreements as well as provide guidance under applicable laws. Extensive experience with Title VII claims including EEOC and state specific charges, Department of Labor investigations and audits, hiring, firing, coaching and counseling, wage and hour, and drug and alcohol testing matters. Assisted with creation and maintenance of employee incentive programs, including stock options and awards.
  • Mergers & Acquisitions. Negotiated, documented, and facilitated completion of operating business transactions, including 42 facility portfolio acquisition.  Directed legal and transition teams responsible for ownership transfer with minimal impact on daily operations.  Facilitated sale of entity with 20 affiliates, including definitive agreements, diligence, closing and integration.
  • Debt Financing. Negotiated and documented terms of debt financing on portfolio and single asset transactions on behalf of Borrower. Represented Lender in Private Lender Financings.
  • Public Company. Drafted and oversaw legal compliance for NYSE listed company with SEC regulations, including 10Qs, 10Ks and annual reports as well as responsible for quarterly and special board of directors’ meetings, and maintenance of records for NYSE listed company.
