Engineering design fees are a small line item — but design risk is not. This article examines how scope gaps, liability caps, and insurance constraints in engineering services agreements can leave project owners exposed, and what to do about it.

Engineering services agreements play a critical role in allocating risk on construction and infrastructure projects. While engineering design costs often represent a relatively small portion of overall project budgets, failures at the design stage can result in significant financial, operational, and safety consequences.

History provides clear examples where modest design fees were followed by substantial downstream losses due to scope gaps, design errors, or unclear responsibility allocation.

Why Scope Clarity Matters

Engineering firms typically agree to perform services in accordance with the applicable professional “standard of care”. However, this standard does not guarantee outcomes, and liability exposure is often constrained by contractual limits and professional liability insurance caps.

For project owners, this can create a disconnect between perceived and actual risk protection, particularly when project values far exceed available insurance coverage.

Liability and Insurance Constraints

Professional liability insurance commonly:

  • Caps coverage well below the total project values.
  • Excludes contractual obligations beyond negligence.
  • Can be quickly depleted by legal defence costs.

Court decisions have reinforced that even where design deficiencies exist, recoverable damages may be limited to design fees rather than project-wide losses. This places increased importance on how engineering services agreements are drafted.

Project-Specific Risk Considerations

The nature and context of a project significantly influences risk allocation in engineering services agreements. Brownfield projects — involving modifications or expansions of existing facilities — carry fundamentally different risks than greenfield developments on undeveloped sites. Brownfield contexts require engineers to rely on as-built documentation that may be incomplete or inaccurate, manage interfaces with operating facilities, and account for unknown conditions including contamination, undocumented utilities, and structural constraints. Greenfield projects, while offering a cleaner slate, may involve remote sites with limited infrastructure access, uncertain geotechnical conditions, and longer supply chains.

Urban versus remote locations present distinct risk profiles. Urban projects must navigate complex utility coordination, strict permitting requirements, limited staging areas, and dense existing underground infrastructure that is often poorly documented. Remote projects face limited contractor and material availability, environmental and Indigenous consultation requirements, extreme weather constraints, and logistics costs that can escalate rapidly with design changes.

Utility and interfacing responsibilities deserve particular attention. The scope should clearly delineate responsibility for utility locates, subsurface investigations, and coordination with utility owners. Many disputes arise from ambiguity about whether the engineer must verify owner-supplied utility information or may simply rely on it. Similarly, where the engineer’s work must integrate with designs by others, existing facilities, or owner-furnished equipment, the agreement should explicitly define interface deliverables, review responsibilities, and liability allocation.

Key Contractual Risk Management Strategies

  • Negotiated liability caps tied to fees and project risk tolerance.
  • Reliance provisions addressing the use of owner-supplied data.
  • Exclusions of consequential damages to clarify risk boundaries.
  • Insurance reviews and supplemental coverage, such as owner’s protective professional indemnity (OPPI).

In addition, staged design reviews and independent peer audits are being used to identify issues before construction magnifies their impact.

Well-drafted engineering services agreements help ensure that:

  • Expectations are aligned at the outset.
  • Risks are identified and consciously allocated.
  • Insurance coverage gaps are understood.
  • Disputes are less likely to arise during project delivery.
